Eligibility: NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN THE SWEEPSTAKES. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW OR REGULATIONS. The Flippin' Over Kozy Shack®™ Sweepstakes (the "Sweepstakes") is open to all legal residents of the 50 United States and D.C., at least twenty-one (21) years of age, except employees of Kozy Shack Enterprises, Inc. ("Sponsor"), The A Team LLC ("A Team"), retailers where Sponsor's products are sold ("Retailers"), and their respective parents, distributors, subsidiaries, affiliates, partners, suppliers, advertising and promotion agencies, and the immediate families or household members of each. The Sweepstakes is subject to all applicable federal, state and local laws and regulations.

How to enter: Internet access is required for entry. To enter, visit www.FlippinOverKozyShack.com (the "Website") between 12:00:01 am Eastern Time ("ET") on March 1, 2011 and 11:59:59 pm ET on May 31, 2011 ("Entry Period") and follow the instructions to (i) provide your name; valid email address; postal mailing address; phone number; and age; and (ii) create a personalized Flippin' Over Kozy Shack video by uploading a face-shot photo (your own or one of the Sponsor-furnished photos) and adding a caption in the video application on the sweepstakes website. All entries become the property of Sponsor and will not be acknowledged or returned. If you upload your own photo, your photo: (i) must be of yourself, not anyone else unless you have permission from the other person whose face is in the photo (photos of pets are also allowed if you have permission from the owner), (ii) must not contain vulgar, pornographic, obscene or indecent content, and (iii) must not defame or libel any third party. You represent and warrant that any material you upload, including your caption and photo, is your original content, and that the posting and other use of such material will not violate the rights of anyone else. Sponsor may require you to furnish proof of permission from anyone other than yourself mentioned or depicted in your entry.

Sponsor may post or not post any submitted photos, captions or other content, and may disqualify any photo or content that is not in compliance with these Official Rules or that Sponsor deems offensive or inappropriate for any reason in its absolute discretion. Eligibility for online posting is entirely within Sponsor's discretion; all submitted materials are subject to screening for inappropriate content prior to posting. After your video entry has been screened, you will receive an email notifying you of the acceptance or rejection of your entry.

Only one (1) video entry per person permitted for the entire Entry Period; duplicate video entry attempts for the same individual will be disqualified. If a person attempts to submit more than one video entry, the first video entry received will be deemed valid and any additional entries from such individual will be disqualified. Use of any macro, bot, script or other automated means to submit entries or video views for bonus entries (see below) is prohibited.

In the event of a dispute over the identity of an entrant, entry will be deemed submitted by the authorized account holder of the email account of the email address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

How to obtain bonus entries: After your video entry has been accepted you will have the opportunity to share your video entry with your friends and family via email only using a tool on the Website; each time a unique visitor views your video via the emailed link you send from the Website, you will receive a bonus entry into the sweepstakes, up to a maximum of 50 bonus entries per video entrant. To receive 50 bonus entries without sharing your video entry online, hand-print your name; valid email address; postal mailing address; phone number; age; and the caption from your video entry on a 3" x 5" card and mail it to: Flippin' Over Kozy Shack®™ Sweepstakes Bonus Entries, P.O. Box 3612, Grand Central Station, New York, NY 10163. Mail-in requests must be postmarked by May 31, 2011, and received by June 9, 2011. Limit 50 bonus entries per entrant regardless of method of obtaining the bonus entries. No responsibility is assumed for lost, late, damaged, illegible, or postage-due mail.

Selection of Prize Winner: Winner will be chosen via random drawing, from all eligible entries received, on or about June 10, 2011. Winner will be notified by mail, phone, or email on or about June 15, 2011. Grand Prize Winner will be required to sign and return to Sponsor an affidavit of eligibility and liability/publicity release within fourteen (14) days of the date of winning notification (to the extent allowed by law); Failure to sign affidavit and liability/publicity release during this timeframe may result in disqualification and selection of an alternate Grand Prize Winner.

Prizes: One (1) Grand Prize is available: A check for $10,000. Winner will be responsible for all applicable federal, state and local taxes. Prize is non-transferable and no substitution by winner is allowed. Sponsor reserves the right to substitute a prize of equal or greater value in the Sponsor's sole discretion in the event any advertised prize becomes unavailable.

Release of Liability: By entering the Sweepstakes, you release Sponsor, A Team, Retailers and each of their respective subsidiaries, affiliates, partners, employees, directors, and agents, including advertising agencies ("Released Entities"), from any and against any and all injury, loss or damage caused or claimed to be caused by your participation in the Sweepstakes and/or the acceptance, awarding, receipt, use and/or misuse of the prize, and you agree that the Released Entities are not responsible for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to the Sweepstakes and/or the awarding of any prize, except as expressly set forth in these Official Rules. By entering the Sweepstakes, you further agree that: (i) any and all disputes, claims, and causes of action arising out of or in connection with the Sweepstakes, or any prizes awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorney's fees; (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses; and (iv) the Sweepstakes and any disputes shall be governed by the internal laws of the State of New York without regard to principles of conflicts of laws, and any disputes will be heard exclusively in the state or federal courts in New York, and you agree to the jurisdiction of such courts.

Additional Rules: By entering this Sweepstakes and creating your personalized video, you irrevocably grant to Sponsor and its agents the unconditional and perpetual right to post, display, publish, use, adapt, edit and/or modify such video in any way, in any and all media, for any purpose, without limitation, and without further consideration to you. Winners agree to irrevocably assign and transfer to the Sponsor any and all rights, title and interest in their winning videos, including, without limitation, all copyrights and waive all moral rights in the video.

Entrant hereby agrees to defend, indemnify and hold harmless Released Entities against any and all third party claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or related to any breach by the entrant of any provision of these Official Rules, including, without limitation, entrant's representations and warranties made herein.

Entry materials/data that have been tampered with or altered are void. Sponsor is not responsible for: (i) lost, late, misdirected, damaged, garbled, or illegible entries; (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant's or any other person's computer related to or resulting from participating in the Sweepstakes. By participating in the Sweepstakes, you (i) agree to be bound by these official rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of the judges, which are final and binding in all matters relating to the Sweepstakes. Failure to comply with these official rules may result in disqualification from the Sweepstakes. Sponsor reserves the right to: (i) permanently disqualify from any Sweepstakes it sponsors any person it believes has intentionally violated these official rules; and (ii) suspend, modify or terminate the Sweepstakes if Sponsor believes, in its sole discretion, that malfunction, error, disruption or damage is impairing or will impair the administration, security, fairness, integrity or proper conduct of the Sweepstakes. Entry constitutes consent to the use of prize winner's name, voice, picture and/or likeness, and video submitted as part of the entry process, without compensation for promotion purposes. LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE THE SWEEPSTAKES WEBSITE OR INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

Data Collection/Privacy: Sponsor and its agencies collect personal information from you when you enter the Sweepstakes. Entering the Sweepstakes constitutes your permission to Sponsor to collect and maintain the data. The information collected is subject to the Sponsor's Privacy Policy at www.kozyshack.com/privacy.html.
